1. Acceptance of Terms
By accessing or using LoyaltyTree ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.
LoyaltyTree is operated by OneSeed.green Inc (dba LoyaltyTree) in partnership with OneSeed.eco for environmental fulfillment services.
2. Description of Service
OneSeed.green Inc (dba LoyaltyTree) provides a loyalty program platform for Shopify merchants that allows customers to earn "seeds" through purchases and activities, which can be redeemed for real tree planting through our partnership with OneSeed.eco.
Important Notice about Tree Planting
Tree planting is fulfilled by OneSeed.eco, a third-party environmental service provider. While we strive to ensure all tree redemptions are fulfilled, we cannot guarantee the survival, growth, or long-term maintenance of planted trees due to factors beyond our control including weather, natural disasters, disease, and environmental conditions.
3. User Accounts
3.1 Account Types
- Merchant Accounts: For Shopify store owners implementing the loyalty program
- Customer Accounts: For end customers participating in the loyalty program
- Standalone Accounts: Independent loyalty accounts not linked to OneSeed.eco
- Connected Accounts: Loyalty accounts linked to existing OneSeed.eco corporate accounts
3.2 Account Responsibilities
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
- Providing accurate and up-to-date information
4. Loyalty Program Terms
4.1 Seed Earning
- Seeds are earned through qualifying purchases and activities as configured by the merchant
- Seed earning rates and requirements may vary by merchant and can be changed at any time
- Seeds have no monetary value and cannot be transferred or sold
- Anonymous visitor tracking may award seeds before account registration
4.2 Tree Redemption
- Typically 100 seeds = 1 tree (rates may vary by program configuration)
- Tree planting requests are processed through OneSeed.eco
- Tree certificates and tracking information are provided when available
- Processing times may vary and are subject to OneSeed.eco's fulfillment schedule
4.3 Program Modifications
Merchants may modify loyalty program terms, seed earning rates, and redemption requirements at any time with reasonable notice. We reserve the right to modify platform-wide features and functionality.
5. Tree Planting Disclaimers
No Guarantees on Tree Survival
We make no warranties or guarantees regarding the survival, growth, health, or long-term maintenance of trees planted through our program. Tree survival depends on numerous factors including but not limited to:
- Weather conditions and climate change
- Natural disasters (fires, floods, storms)
- Disease, pests, and invasive species
- Soil conditions and water availability
- Human activities and land use changes
- Local wildlife and grazing
5.1 Third-Party Fulfillment
All tree planting is performed by OneSeed.eco, an independent third-party provider. We are not responsible for:
- OneSeed.eco's planting methods, locations, or tree species selection
- Delays in planting due to seasonal or environmental factors
- Changes to OneSeed.eco's operations or service availability
- Accuracy of environmental impact calculations or reporting
5.2 Environmental Impact
Environmental impact metrics (CO2 offset, biodiversity benefits) are estimates provided by OneSeed.eco and may vary based on tree species, location, and survival rates. These estimates are not guaranteed outcomes.
6. Payment and Billing
6.1 Subscription Plans
- Free Forever: $0/month with 20 starter credits
- Standard: $199/month with 250 tree credits included
- Enterprise: $999/month with 1,500 tree credits included
6.2 Tree Credits
- Additional tree credits: $1.00 each (discounts apply for Standard and Enterprise plans)
- Credits are consumed when trees are planted, not when seeds are redeemed
- Unused credits do not roll over between billing periods
- No refunds for unused credits
6.3 Billing Terms
Subscription fees are billed monthly in advance. You authorize us to charge your payment method for all fees. You may cancel at any time, but no refunds will be provided for partial months.
7. Prohibited Uses
You may not use our Service:
- For any unlawful purpose or to solicit unlawful acts
- To violate any international, federal, provincial, or state regulations or laws
- To transmit or procure the sending of any advertising or promotional material
- To impersonate or attempt to impersonate another user or entity
- To interfere with or circumvent the security features of the Service
- To manipulate or game the loyalty program in ways not intended
- To make false claims about environmental impact or tree planting
8. Intellectual Property
The Service and its original content, features, and functionality are owned by OneSeed.green Inc (dba LoyaltyTree) and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service without prior written consent.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOYALTY TREE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, data, use, goodwill, or other intangible losses
- Damages related to tree survival, growth, or environmental impact
- Service interruptions or data breaches
- Third-party actions or omissions (including OneSeed.eco)
- Any damages resulting from unauthorized access to your account
Our total liability to you for all damages shall not exceed the amount you have paid us in the twelve months preceding the claim.
10. Indemnification
You agree to defend, indemnify, and hold harmless OneSeed.green Inc (dba LoyaltyTree) and its officers, directors, employees, and agents from any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms or your use of the Service.
11. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.
Upon termination, your right to use the Service will cease immediately. Accumulated seeds and pending tree redemptions may be processed at our discretion.
12. Disclaimers
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We expressly disclaim all warranties of any kind, whether express or implied, including but not limited to:
- Merchantability and fitness for a particular purpose
- Non-infringement and quiet enjoyment
- Accuracy, reliability, or completeness of content
- Uninterrupted or error-free operation
- Tree survival or environmental impact achievements
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of [State/Country], without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts of [Jurisdiction].
14. Changes to Terms
